These Terms of Service ("Terms") govern your access to and use of websites, applications, research outputs, and related services made available by The Vult ("Company," "we," "us," or "our"). These Terms form a legally binding agreement between you and the Company.

The Vult develops and operates applied AI systems, research infrastructure, and enterprise technology programs. By using our services, you acknowledge that reliability, security, and responsible use are core operating principles of our platform and your obligations under these Terms.

2Acceptance of Terms

By accessing or using any Company service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the services.

5User Responsibilities

You are responsible for all actions taken through your access credentials, systems, and personnel. You must provide accurate information when requested, maintain secure operational practices, and cooperate with reasonable security and compliance measures required by the Company.

You must promptly notify us of any unauthorized access, credential compromise, or suspected misuse involving your account, integration environment, or related infrastructure.

6Acceptable Use

You agree not to use the services to:

  • Violate laws, regulations, sanctions, or the rights of others.
  • Develop, distribute, or deploy malicious software, unauthorized surveillance tools, or deceptive automated systems.
  • Probe, exploit, or circumvent security controls, rate limits, authentication controls, or network protections.
  • Reverse engineer or attempt to extract proprietary model weights, confidential methods, or source code except where expressly permitted by law.
  • Use outputs in a way that is fraudulent, materially misleading, or unsafe in regulated contexts.

7Intellectual Property Rights

All rights, title, and interest in and to the services, including all software, algorithms, data pipelines, research materials, visual assets, and related documentation, are owned by the Company or its licensors and are protected by intellectual property laws.

Except as expressly granted under these Terms or a separate written agreement, no license or other rights are granted to you by implication, estoppel, or otherwise.

8Proprietary Technology, Research, and Platform Content

The Company invests materially in proprietary technical methods, evaluation frameworks, model orchestration techniques, and applied research. You may not copy, redistribute, republish, or operationalize this proprietary material except where explicitly authorized in writing.

Any benchmarking, publication, public comparison, or external disclosure regarding Company systems or outputs requires prior written consent. Unauthorized disclosure of confidential technical details is prohibited.

9Accounts and Access Rules

Where account-based access is provided, you must maintain the confidentiality of credentials and enforce role-appropriate access controls within your organization. Shared credentials are not permitted unless expressly approved in writing.

We may require multi-factor authentication, security attestations, or periodic credential rotation. We may suspend access where security posture, identity assurance, or compliance obligations are not met.

10Disclaimers

Except as expressly provided in a signed agreement, services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

You remain responsible for independent review, validation, and risk assessment before relying on service outputs in operational, legal, financial, healthcare, safety-critical, or regulated workflows.

11Limitation of Liability

To the fullest extent permitted by law, the Company and its officers, employees, affiliates, and licensors are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of revenue, profits, data, goodwill, or business interruption.

To the fullest extent permitted by law, the aggregate liability of the Company for claims arising out of or relating to these Terms or the services will not exceed the amounts paid by you to the Company for the relevant services during the twelve (12) months preceding the event giving rise to the claim, or USD $500 if no such fees were paid.

12Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, employees, affiliates, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the services, your breach of these Terms, or your violation of applicable law or third-party rights.

13Termination or Suspension

We may suspend or terminate access immediately where we reasonably determine that your conduct presents security, legal, compliance, or operational risk, or where you materially breach these Terms.

Upon termination, rights granted to you under these Terms cease immediately. Provisions that by their nature should survive termination, including confidentiality, intellectual property, liability limitations, indemnification, and dispute provisions, will remain in effect.

14Governing Law and Dispute Resolution

These Terms are governed by the laws of India, excluding conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the services will be subject to the exclusive jurisdiction of the courts located in Udaipur, Rajasthan, India.

Nothing in these Terms limits either party from seeking equitable or injunctive relief where unauthorized use of intellectual property, confidential information, or security-sensitive systems could cause irreparable harm.

15Changes to Terms

We may update these Terms from time to time to reflect legal, operational, security, or product changes. Updated Terms become effective when posted, unless a later effective date is stated.

Your continued use of the services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the services.
